Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either an individual or entity) and De IT Afdeling ("Company," "we," "us," or "our") governing your use of STRAK, our cloud-based ERP platform (the "Service").

By accessing or using STRAK, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Services

STRAK provides a cloud-based enterprise resource planning (ERP) platform that includes:

  • Project and task management tools
  • Time tracking with GPS verification
  • Team collaboration features
  • Invoice generation and management
  • Contact and client relationship management
  • Calendar and scheduling tools
  • Reporting and analytics

We reserve the right to modify, suspend, or discontinue any feature or functionality of the Service at any time with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Account Registration

3.1 Eligibility

You must be at least 16 years old to use STRAK. By creating an account, you represent and warrant that you meet this age requirement and have the authority to enter into these Terms.

3.2 Account Information

You must provide accurate, current, and complete information during registration and keep your account information updated. You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account, whether authorized or not
  • Immediately notifying us of any unauthorized use of your account

3.3 Organization Accounts

If you create an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. The organization will be responsible for all actions taken through the account.

4. Subscription and Billing

4.1 Pricing

STRAK is offered on a subscription basis. Current pricing is available on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing customers.

4.2 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on your chosen plan. Payment is due immediately upon subscription renewal. You authorize us to charge your designated payment method automatically.

4.3 Free Trial

We may offer a free trial period. If you do not cancel before the trial ends, you will be automatically charged for a paid subscription. No refunds are provided for unused trial periods.

4.4 Refunds

Subscription fees are non-refundable except as required by law. If you cancel during a billing period, you will continue to have access until the end of that period, but no refund will be provided for the remaining time.

5. Acceptable Use Policy

You agree not to use STRAK to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers/networks connected to it
  • Use automated systems (bots, scrapers) to access the Service without permission
  • Harass, abuse, or harm other users or our staff
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service for any illegal, fraudulent, or unauthorized purpose
  • Reverse engineer, decompile, or attempt to extract source code

Violation of this Acceptable Use Policy may result in immediate termination of your account.

6. User Content and Data

6.1 Your Data

You retain all rights to the data, content, and information you upload or create in STRAK ("User Content"). You are solely responsible for the accuracy, legality, and appropriateness of your User Content.

6.2 License to Us

By uploading User Content, you grant us a limited license to use, store, process, and display your User Content solely to provide and improve the Service. This license terminates when you delete your content or close your account.

6.3 Data Backup

While we maintain regular backups, you are responsible for maintaining your own backup copies of User Content. We are not liable for any loss or corruption of User Content.

6.4 Data Export

You may export your User Content at any time using our export features. Upon account termination, you have 30 days to export your data before it is permanently deleted.

7. Intellectual Property

STRAK, including its software, design, content, trademarks, and logos, is owned by De IT Afdeling and protected by intellectual property laws. These Terms do not grant you any ownership rights to the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission. Any feedback, suggestions, or ideas you provide about STRAK become our property and may be used without compensation or attribution.

8. Service Availability

We strive to provide reliable service with 99.9% uptime, but we do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (with advance notice when possible)
  • Emergency maintenance or security updates
  • Factors beyond our control (hosting provider outages, etc.)

We are not liable for any damages resulting from service interruptions or unavailability.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

9.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity
  • Pose a security or legal risk

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Your User Content will be deleted 30 days after termination unless legally required to retain it longer.

10. Warranties and Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses. Your use of the Service is at your sole risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DE IT AFDELING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or €100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless De IT Afdeling and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any third-party rights.

13. Governing Law

These Terms are governed by the laws of the Netherlands, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of the Netherlands. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of STRAK after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must cancel your account.
